WHO SHOULD ATTEND:   Attorneys who serve on the Board of Directors of tax-exempt, nonprofit corporations, serve as legal counsel to or for such corporations, or are otherwise meaningfully involved in or with such corporations (as a volunteer or otherwise) will benefit from attending this program.   

OVERVIEW: Serving on the Board of Directors of a tax-exempt, nonprofit corporation often is entered into with pure intentions and noble goals -- to give something back to the community, to help a class of citizens suffering from an economic, social, health, or other affliction -- however, such service can be a trap for the unwary unless you are armed with a fundamental understanding of what your duties and rights are as a director under applicable federal and state law.  This seminar will help you gain a working understanding of a director’s fiduciary duties -- the duty of care and the duty of loyalty -- and rights under Tennessee law, the Internal Revenue Service’s increasing role in governance of tax-exempt, nonprofit corporations, certain consequences under Tennessee and federal law of breaching fiduciary duties, and common events giving rise to such breaches.
