SECURITIES PITFALLS FOR NON-SECURITIES LAWYERS


CREDIT: 1.0 CLE Hour – General


OVERVIEW: Are you practicing securities law and aren’t even aware of it?  If you represent clients in business transactions, such as forming corporations, limited liability companies, or limited partnerships, or conducting stock sales or other financing transactions, you may be practicing securities law even if you don’t intend to. 

Securities laws can subject both your client and your firm to significant liability, sometimes even for inadvertent violations.  In this session, you will gain a general understanding of securities law and ways you can mitigate risk to youself and your clients.

YOU WILL LEARN:

  •      1. A basic understanding of federal and state securities laws
         2. The definition of a security and how to recognize one
         3. Identifying when someone who collects a “finder’s fee” (a commission to put together
             a business deal) must be registered as a securities broker
  •      4. Details that should be in your malpractice policy to ensure that you are covered in the event you
  •          are sued for your client’s securities violations

    OVERVIEW: In the past few years, the Series LLC has become a very popular topic for attorneys that represent businesses.  There are still questions regarding the protection that setting-up Series LLCs can provide for a company in Tennessee. 

    Through this course, Mr. Sullivan will define the Series LLC, discuss the advantages and disadvantages of using a Series LLC, and attempt to tackle some of the issues with creating a Series LLC and protecting company assets through the use of Series LLCs.
