For M&A deals, legal and financial professionals need to be clear on the steps required and the associated deadlines. This seminar will focus on public records due diligence, state filing considerations and post-closing matters. Utilizing examples from multiple states that participants will frequently see in deals, the timing and types of due diligence will be discussed. The program will cover traps for the unwary and how to avoid last minute scrambling when missed requirements delay the issuance of the Good Standing Certificate required for the legal opinion, or when minor discrepancies on the merger certificate cause rejection. We will also discuss how Delaware’s new “Certificate of Validation” can be used to remedy defective corporate acts that can hinder a closing. This seminar is geared toward junior associates.
